Important advice on cancellation and return as required by §55 Section 2 BGB Right of cancellation You may revoke your contractual declaration within two weeks without a requirement to cite the grounds by submitting written notice (e.g., letter, fax, e-mail) or by returning the item. The above period may not commence until receipt of this advice. The cancellation deadline is met as long as the date of submission of the cancellation notice or the return dispatch of the item lies within the cancellation period. If you cannot return the delivered object at all or only partially or in a deteriorated condition, you must compensate us for the loss in value of the goods. This does not apply to the transfer of goods where the deterioration was caused exclusively by their examination in such a way as might occur in in a retail outlet prior to purchase. Furthermore, you can avoid the obligation to provide compensation if you do not use the item as if it were your property and avoid anything that might detract from its value. Items that can be sent by parcel delivery should be returned to us by post. You must bear the costs of return shipment where the goods delivered match what you ordered, where the price of the item to be sent back does not exceed EUR 40, or where, for items over EUR 40, you have not yet paid consideration for the goods or made a contractually agreed part-payment. In all other cases, return shipping is free of charge to you. Items that cannot be sent by parcel delivery will be picked up at your house/premises. You must comply with any obligations to reimburse payments within 30 days of submission of your notice of cancellation. Exceptions Unless otherwise stipulated, the right of cancellation does not exist for contracts which involve: 1. the delivery of goods that are finished to customer specifications or unequivocally tailor-made to personal needs, or goods that are not suitable for return because of their nature, goods that may spoil quickly, or whose expiry date has passed; 2. the delivery of audio or video recordings or software where the seal placed on the data carriers in question has been opened by the user. § 1 General Terms and Conditions, Scope All contractual goods or services provided to customers by PowerPac Baumaschinen GmbH are subject exclusively to the following General Terms and Conditions. Any variation from these General Terms and Conditions may only apply where agreed to in writing between PowerPac Baumaschinen GmbH and the customer, or where expressly noted in these General Terms and Conditions. § 2 Conclusion of the Agreement (1) Conclusion of the Agreement on the Internet a) Offers by PowerPac Baumaschinen GmbH on the Internet represent a non-binding invitation to customers to order items from PowerPac Baumaschinen GmbH. b) By ordering the desired goods on the Internet, the customer is held to have submitted a binding offer to conclude a purchase agreement. c) PowerPac Baumaschinen GmbH is entitled to accept this offer within 10 calendar days by sending an order confirmation. The order is confirmed by the sending of an e-mail. If confirmation of the order is not received within the 10-day period, the offer is deemed to have been refused. (2) Conclusion of the Agreement on eBay a) The placing of goods on eBay either in an on-line auction or at a set price (immediate purchase option) constitutes a binding offer from PowerPac Baumaschinen GmbH to conclude an agreement in relation to these goods. This offer can only be accepted during the specified period by means of a bid. The offer is directed at the customer who makes the highest bid during the period of the online auction and who fulfils certain additional conditions in the offer (e.g. specific evaluation criteria). b) The customer accepts the offer by submitting a bid on eBay. The bid expires if another customer submits a higher bid during the online auction. The official measure of the duration of the online auction is the official eBay time. c) At the end of the specified online auction period, an agreement is concluded with the customer who has submitted the highest bid. In the case of immediate purchase, an agreement for the acquisition of the bid object is established independently of the expiry of the offer period and without an online auction at the fixed price stipulated in the option, where the customer chooses this option. This option can be exercised by any customer for as long as no bid has yet been submitted for the goods or as long as other goods of the same type and quality are offered as part of a power auction. § 3 Payment, Due date, Default (1) The customer may elect to pay for the goods either by prepayment, bank transfer or invoice. PowerPac Baumaschinen GmbH reserves the right in specific cases to accept or decline specific methods of payment. (2) In the case of prepayment, the customer undertakes to pay the purchase price immediately after conclusion of the agreement. In the case of payment by bank transfer, the amount is debited within one week of conclusion of the agreement. (3) If the customer defaults on payment, he is liable for any negligence during the period of delay. He remains liable for performance even in the case of fortuitous events, unless the damage would have occurred even if performance had been made on time. (4) Interest is payable on the purchase price during the period of default. The rate of default interest is 5% per annum above the base rate. In the case of legal transactions to which a consumer is not a party, the interest rate is 8% above the base rate. (5) The right to assert a claim for an additional loss is not excluded. § 4 Supply (1) Goods will only be supplied where a sufficient quantity remains in stock. (2) Goods are delivered ex warehouse to the address designated by the customer. Where the goods are to be supplied following prepayment, they will generally be delivered within 2-3 working days of receipt of the purchase price. In other cases, the delivery period is generally 2-3 working days after the end of the auction or the exercise of a fixed price option or from the date of sending of the order confirmation. The delivery periods quoted are not binding unless specifically agreed otherwise. (3) Goods are delivered subject to a fee for the cost of postage and packaging quoted in the online auction or when placing a website order. In the case of foreign deliveries, except where stipulated otherwise, the price for postage and packaging is calculated separately by weight. Where the customer requests a special and more expensive method of delivery, he shall be responsible for the additional costs incurred. § 5 Reservation of title The goods shall remain the property of PowerPac Baumaschinen GmbH until full payment is received. Prior to transfer of title the buyer may not pledge, process or convert the goods or assign them as security without the express consent of PowerPac Baumaschinen GmbH. § 6 Prices (1) Whenever the website of PowerPac Baumaschinen GmbH is updated, all previous prices and other product details become invalid. This does not include prices quoted as part of an immediate purchase auction . (2) Except for eBay auctions, the invoice price is the price at the time the customer submits the offer. § 7 Cancellation (1) PowerPac Baumaschinen GmbH is entitled to cancel the agreement, even where a part of the goods or service has not yet been supplied, in cases where false information has been submitted concerning the customer's creditworthiness or where there are objective grounds for doubting the ability of the customer to pay, such as the instigation of insolvency proceedings against the customer's assets or a decision not to instigate such proceedings as a result of a lack of assets. Prior to such cancellation the customer shall be offered the opportunity to make a prepayment or to provide adequate security. (2) Without prejudice to the right of PowerPac Baumaschinen GmbH to claim compensation, in the case of a partial cancellation any partial performance shall be charged and paid for as stipulated in the agreement . § 8 Warranty (1) The warranty period is two years. In the case of legal transactions where one of the parties is not a consumer or where the transaction is for used items, the warranty period is one year. (2) Where the item is faulty, the customer is entitled to demand repair, either through rectification of the fault or the delivery of a fault-free replacement at his own discretion. PowerPac Baumaschinen GmbH may refuse the choice of repair made by the customer without prejudice to §275 paras. 2 and 3 BGB (German Civil Code), where it would involve disproportionately high costs. Any such decision should take into account the value of the goods in their perfect condition, the extent of the fault and whether the alternative method of repair can be chosen without significantly disadvantaging the customer. The customer's rights in such cases are limited to the other method of repair; PowerPac Baumaschinen GmbH retains the right to refuse this alternative method as well subject to the provisions of sentence 1. (3) Where PowerPac Baumaschinen GmbH supplies a fault-free item by way of repair, it may demand the return of the faulty item by the customer in accordance with §§ 346 to 348 BGB. (4) Damage caused by improper actions of the customer or actions in breach of the agreement in relation to assembly, connection, operation or storage shall not give rise to any claim against PowerPac Baumaschinen GmbH. The improper or non-contractual nature of such actions shall be determined mainly by reference to the information provided by the manufacturer of the goods supplied. § 9 Transport damage (1) Claims in relation to goods delivered to the customer which display obvious damage to the packaging or the contents must be addressed to the transport agent/freight service. The customer should refuse to accept delivery of such items, and should immediately contact PowerPac Baumaschinen GmbH by e-mail, fax or post. (2) PowerPac Baumaschinen GmbH must be notified immediately following the discovery of any hidden faults. (3) This provision shall not have the effect of shortening the legally prescribed periods for the submission of claims. § 10 Limitation of liability (1) For all damages other than those caused by death or personal injury, PowerPac Baumaschinen GmbH shall only be liable in so far as the damages are a result of wilful intent or gross negligence or the culpable breach of a basic contractual obligation by PowerPac Baumaschinen GmbH or its vicarious agents. No other liability for compensation will be accepted. This provision shall not affect the terms of the German Product Liability Act. (2) Current technology does not make it possible to guarantee faultless and /or permanently available data communication via the Internet. PowerPac Baumaschinen GmbH cannot therefore be held liable for the permanent availability of its products. § 11 Data protection All personal data required for the fulfilment of the order is stored in machine-readable format and treated confidentially. In order to fulfil its supply obligations under the agreement, PowerPac Baumaschinen GmbH passes data needed to process the order, such as name and address details, to the company engaged to deliver the goods. § 12 Place of jurisdiction All disputes arising from this legal relationship are subject to the laws of the German Federal Republic. The UN Convention on the Sale of Goods shall not apply. Where the contractual parties are merchants, the district court with responsibility for the registered office of PowerPac Baumaschinen GmbH shall have jurisdiction, except where a sole place of jurisdiction is admissible for the dispute. § 13 Severability clause Should any of the terms of this agreement be or become invalid or unenforceable, this shall not affect the remaining terms of this agreement.
