1) Ambit
The following trading conditions applies for all business relations in the present or the future which are accomplished by electronically, telephone, letter or email. In the sense of these SBC (standard business conditions) all consumers are natural persons, who can not be added a commercial or independent vocational activity. Customers are both, consumer or entrepreneurs. Devianting, opposing or supplementing SBC doesn´t become integral part of the contract, unless the validity is agreed upon expressly in writing. The form-moderate reference of the customers to the SBC we disagree.

Our offers are without engagement. Technical changes, as well as Changes of form, color and capacity we reserve to the extent reasonable. The contract is subject exclusively to the right of the Federal Republic of Germany. If the customer is an entrepreneur, Alzenau is considered as agreed upon area of jurisdiction. However, RS Trade is justified to sue the customer also at its domicile court. For entrepreneurs is Alzenau the place of delivery. If this AGB should be totally or partly part of contract not become or ineffective, then the contract remains effective in the remaining. Instructions of cancellation
with consumer contracts and after remote paragraph law (D26010)

1. Consumers in the sense of the law and in the sense of this revocation instruction, are natural persons, who start into business relation with us, 
without a commercial or independent vocational activity can be added to them. 
 2. As consumer you have the right to recall your declaration of intention within one month after contract conclusion, 
if they were handed out to you in text form before conclusion of the contract. The period begins with the time, in which you could take knowledge 
from the revocation instruction in writing. 
3.  As far as the instruction is only communicated to you after contract conclusion, the period of revocation amounts to 30 Days starting 
from receipt of the instruction, which we convey to you together with the other contract documents. 


4. For keeping the period of the revocation a punctual sending of the revocation is enough. They can communicate the revocation to us by letter, 
or by email. Also ok is send back the item to RS Trade GmbH. 
5. They are obligated of the return with the practice of the right of revocation, if the commodity can be dispatched by package. 
The costs of the return with a purchase order value as far as 40,- Euro have to payed by yourselves, unless the supplied commodity 
is not the ordered commodity.. With a purchase order value of over 40,00 euro you do not have to bear the cost of the return. 
6.        In the case of the revocation the reciprocally received achievements are to be refunded to publish and pulled uses (e.g. customs advantages) . 
You have to bear for indemnification according to value out for a degradation resulted from the intended use of the commodity. 
The depreciation, which leads going out use across the pure examination to it that the commodity cannot be sold again any more, has to be payed by you.

1)Geltungsbereich 
Die nachstehenden Geschäftsbedingungen gelten für alle gegenwärtigen und zukünftigen Geschäftsbeziehungen, seien sie elektronisch, telefonisch, per FAX, per Brief oder e-mail zustande gekommen.

Verbraucher im Sinne dieser AGB sind natürliche Personen, mit denen in Geschäftsbeziehung getreten wird, ohne daß diesen eine gewerbliche oder selbständige berufliche Tätigkeit zugerechnet werden kann.

Unternehmer im Sinne dieser AGB sind natürliche oder juristische Personen, mit denen in Geschäftsbeziehungen getreten wird, die in Ausübung einer gewerblichen oder selbständigen beruflichen Tätigkeit handeln.

Kunden sind sowohl Verbraucher als auch Unternehmer.

Abweichende, entgegenstehende oder ergänzende AGB werden nicht Vertragsbestandteil, es sei denn, ihre Geltung wird ausdrücklich schriftlich verein-bart. Dem formularmäßigen Hinweis auf AGB des Kunden wird widersprochen.

2)Vertragsschluß
Die Darstellung des Sortiments von RS Trade stellt kein Angebot im Sinne der §§ 145 ff. BGB dar. Mit der Bestellung der Ware erklärt der Kunde verbindlich, die bestellte Ware erwerben zu wollen. Wir sind berechtigt, das in der Bestellung liegende Vertragsangebot innerhalb von vierzehn Tagen nach Eingang bei uns anzunehmen. Der Vertragsschluß erfolgt unter dem Vorbehalt der richtigen und rechtzeitigen Selbstbelieferung durch unsere Zulieferer. Dies gilt nur für den Fall, daß die Nichtlieferung nicht von RS Trade zu vertreten ist. Der Kunde wird über die Nichtverfügbarkeit der Leistung unverzüglich informiert. Etwaige Gegenleistungen werden unverzüglich zurückerstattet.

Eingangsbestätigungs-mails sowie die Aufnahme telefonischer Bestellungen stellen keine verbindliche Annahme des Angebots durch RS Trade dar.

3)Preise
Es gelten die zum Zeitpunkt der Bestellung aufgeführten Preise. Die angegebenen Preise sind Endpreise. Sie beinhalten somit die jeweils gültige ge-setzliche Mehrwertsteuer. Versandkosten werden zusätzlich berechnet.

4)Lieferung und Transport
Die angegebenen Liefertermine gelten nur dann als vertraglich vereinbarte Fix-Termine, wenn dies ausdrücklich und schriftlich vereinbart wurde. An-sonsten handelt es sich bei Lieferfristen um Circa-Fristen. Aus einer Überschreitung der voraussichtlichen Liefertermine können keine Ersatzansprüche hergeleitet werden.

Ist der Käufer Unternehmer, geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der Ware mit der Übergabe, beim Versendungskauf mit der Auslieferung der Sache an den Spediteur, den Frachtführer oder der sonst zur Ausführung der Versendung bestimmten Person oder Anstalt auf den Käufer über.

Sollten Transportschäden an der Ware festgestellt werden, hat der Empfänger / Kunde unverzüglich Schadensmeldung gegenüber dem Frachtführer / Versanddienst zu machen. Sonstige erkennbare Schäden sind innerhalb von 3 Tagen nach Erhalt der Ware zu melden. Wird die Ware im Zuge der Ingebrauchnahme/Montage beschädigt/angebohrt, ist eine Rücknahme nicht möglich, da dies über den Rahmen einer üblichen Prüfung hinausgeht.

Rücksendungen sind nach schriftlicher Genehmigung durch

zu senden. Die entstehenden Porto Kosten werden dem Kunden im Falle einer gerechtfertigten Rücksendung erstattet.
Unfreie Sendungen werden grundsätzlich nicht angenommen und zu Lasten des Kunden zurückgesendet. 
Ware die in unserem Lager abgeholt wird, ist bei einer Rückgabe auch wieder dorthin zu verbringen. Kosten für eine Rücksendung werden in diesem Fall nicht übernommen.
5)Widerrufsrecht für Verbraucher
Hier wird verwiesen auf unsere gesonderte Widerrufsbelehrung. 

6)Zahlung
Die Zahlung erfolgt per Vorauskasse oder bei Abholung am Standort von RS Trade. Für Bestellungen aus dem Ausland gilt die Zahlung gegen Voraus-kasse als vereinbart.

7)Eigentumsvorbehalt
Alle gelieferten Waren bleiben bis zur vollständigen Bezahlung im Eigentum von RS Trade. Der Eigentumsvorbehalt erstreckt sich auch auf verarbeitete Gegenstände. Der Unternehmer ist berechtigt, die Ware im ordentlichen Geschäftsgang weiter zu veräußern. Er tritt uns bereits jetzt alle Forderungen in Höhe des Rechnungsbetrages ab, die ihm durch die Weiterveräußerung gegen einen Dritten erwachsen. Wir nehmen die Abtretung an.

8)Gewährleistung
Die Gewährleistung richtet sich nach den gesetzlichen Vorschriften. Eine darüber hinausgehende Garantie übernehmen wir nicht. Garantiezusagen des Herstellers begründen keinen Rechtsanspruch gegenüber RS Trade.
Verkauft der Käufer die von der Firma RS Trade GmbH gelieferten Gegenstände an Dritte, ist ihm untersagt, wegen der damit verbundenen gesetzlichen und/oder vertraglichen Gewährleistungsansprüche auf die Firma RS Trade GmbH zu verweisen. Die Kaufleute betreffenden Untersuchungs- und Rügepflichten des §377 HGB bleiben unberührt.

9)Haftungsbegrenzung
Bei leicht fahrlässigen Pflichtverletzungen haftet RS Trade lediglich in Höhe des nach der Art der Ware vorhersehbaren, vertragstypischen unmittelbaren Durchschnittschaden. Dies gilt auch für Pflichtverletzungen unserer gesetzlichen Vertreter oder Erfüllungsgehilfen. Die Ware ist unmittelbar nach Erhalt auf Transportschäden zu prüfen. Eventuelle Transportschäden sind auf dem Lieferschein vom Anlieferer zu quittieren, spätere Reklamationen zu Transportschäden können nicht berücksichtigt werden. 

Gegenüber Unternehmen haftet RS Trade bei leichter fahrlässiger Verletzung unwesentlicher Vertragspflichten nicht. 

10)Datenschutz
Der Kunde wird darauf hingewiesen, daß seine Daten für die Dauer der Geschäftsbeziehung bei RS Trade gespeichert werden. Er erklärt sich hiermit einverstanden.

11)Gerichtsstand, Erfüllungsort, anwendbares Recht 
Dieser Vertrag unterliegt ausschließlich dem Recht der Bundesrepublik Deutschland. Sofern der Kunde Unternehmer ist, gilt Alzenau als vereinbarter Gerichtsstand. RS Trade ist jedoch berechtigt, den Kunden auch an seinem Wohnsitzgericht zu verklagen. Erfüllungsort für Unternehmer ist Alzenau. 

Sollten diese AGB ganz oder teilweise nicht Vertragsbestandteil geworden oder unwirksam sein, so bleibt der Vertrag im übrigen wirksam. Soweit Bestimmungen nicht Vertragsbestandteil geworden oder unwirksam sind, richtet sich der Inhalt des Vertrages nach den gesetzlichen Vorschriften. Der Vertrag ist nur dann unwirksam, wenn das Festhalten an ihm auch unter Berücksichtigung der nach den gesetzlichen Vorschriften vorzunehmenden Änderungen eine unzumutbare Härte für eine der Vertragsparteien darstellen würde.

Können Sie uns die empfangenen Leistungen ganz oder teilweise nicht oder nur in verschlechtertem Zustand zurückgewähren, müssen Sie uns insoweit gegebenenfalls Wertersatz leisten.
